Terms of Service

The terms that govern your use of Mailrun's website and infrastructure services.

1. Overview

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “User,” or “you”) and Mailrun Partners, LLC (“Mailrun,” “we,” “our,” or “us”) and govern your access to and use of the Mailrun.ai platform, which provides promotional email infrastructure tools including inboxes, sending domains, and related email infrastructure services (the “Service”).

Mailrun does not send emails on behalf of customers and assumes no responsibility for content, legality, or deliverability of any customer email activity.

By accessing, using, subscribing to, or purchasing the Service, including by accepting these Terms during checkout, you agree to these Terms and Mailrun's Acceptable Use Policy, which is incorporated into and forms part of these Terms. Your acceptance of these Terms constitutes your acceptance of the Acceptable Use Policy. If you do not agree to both, you must not purchase or use the Service.

2. Description of Service

Mailrun provides:

  • Promotional email infrastructure tools including provision of inboxes, mailboxes, domains, and DNS configurations.
  • Guidance on best practices for outbound email infrastructure and domain reputation management.

We do not send emails or messages on your behalf. You are solely responsible for using the infrastructure tools legally and ethically in compliance with applicable laws and regulations (e.g., CAN-SPAM, GDPR, CASL).

The Service relies on third-party registrars, mailbox providers, cloud platforms, payment processors, and other service providers. Their availability, policies, and technical requirements may affect the Service. Mailrun may make reasonable changes to the Service when necessary to maintain security, deliverability, legal compliance, or compatibility with those providers.

3. Domains, Ownership & Renewals

For a standard managed package, domains purchased through Mailrun for a one-time domain charge are customer-owned after payment. Mailrun may register, configure, and administer those domains on your behalf while providing the Service. Subject to account verification, payment of all amounts due, registrar requirements, and any applicable transfer lock, you may request transfer of those domains through our contact form. Domains you bring to Mailrun remain yours.

Pre-warmed domains are subscription inventory made available for use while the applicable pre-warmed subscription remains active. Unless Mailrun agrees otherwise in writing, a pre-warmed subscription does not transfer ownership of those domains. When the subscription ends, Mailrun may disable access and return the domains and associated resources to its inventory.

Renewal charges for customer-owned managed domains are separate from monthly Service fees and are not charged automatically. Mailrun will attempt to contact you before a renewal is due. You are responsible for responding, providing accurate contact information, and paying approved renewal charges on time. A domain may expire or become unavailable if renewal instructions or payment are not received before the registrar's deadline.

4. Eligibility & Registration

To use the Service, you must be at least 18 years of age and capable of forming a binding contract. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.

5. Permitted Use & Acceptable Use Policy

You may use the Service for lawful business communications, including outbound business email, provided that your use complies with applicable law, these Terms, and the Acceptable Use Policy. You are responsible for the content and recipients of communications sent through the infrastructure we provide and for the conduct of your employees, contractors, clients, and other authorized users.

Without limiting the Acceptable Use Policy, you may not use the Service for unlawful, fraudulent, deceptive, abusive, or unauthorized activity; phishing, impersonation, credential theft, malware, or security attacks; evasion of sending limits, suppression controls, or enforcement measures; or activity that materially threatens the security, availability, reputation, or deliverability of Mailrun, its service providers, or other customers.

Mailrun may restrict, suspend, or terminate the Service for violations of this section or the Acceptable Use Policy as described in that policy and these Terms.

6. Intellectual Property

All intellectual property, including but not limited to Mailrun’s platform, tools, content, and branding, remain the property of Mailrun. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

7. Use of Customer Brand and Results in Marketing

By using the Service, you grant Mailrun the right to use your company name, logo, and general descriptions of your use case in marketing, sales collateral, case studies, or testimonials—unless you opt out through our contact form.

8. Billing, Refunds & Payment Disputes

Recurring plans are billed monthly in advance. Standard managed-domain purchases are billed as a separate one-time charge. Pre-warmed domains are billed monthly as part of the applicable pre-warmed subscription. All fees are non-refundable unless explicitly stated otherwise or required by law.

If you believe a charge is incorrect, please contact Mailrun promptly so we can investigate. Initiating a payment dispute does not cancel your subscription or relieve you of responsibility for valid amounts due. Mailrun may suspend Services associated with unpaid, reversed, fraudulent, or abusive transactions and may recover costs to the extent permitted by applicable law and payment-network rules.

9. Account Termination & Suspension

Mailrun reserves the right to suspend or terminate access to the Service at any time, with or without notice, for conduct that:

  • Violates these Terms or the Acceptable Use Policy,
  • Damages Mailrun’s infrastructure or email reputation,
  • Is deemed abusive, unethical, or unlawful.

No refunds will be provided in the event of termination for cause.

10. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
Mailrun makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Mailrun is not responsible for:

  • The content of any email sent through infrastructure we provide,
  • The legality of your outreach practices,
  • Any consequences arising from misuse or poor deliverability.

To the fullest extent permitted by law, Mailrun shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of data, revenue, or reputation.

To the fullest extent permitted by law, Mailrun's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees you paid to Mailrun for the Service during the six months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Mailrun and its officers, directors, employees, and affiliates from any claims, losses, liabilities, damages, and expenses (including legal fees) arising out of your:

  • Use or misuse of the Service,
  • Violation of any law or regulation,
  • Breach of these Terms or the Acceptable Use Policy.

12. Cancellation

You may cancel your subscription at any time through any cancellation controls made available in your account or by submitting a request through our contact form. Cancellations are effective at the end of the current billing cycle. You will continue to have access to the Service until the end of your paid period, after which your subscription will not renew. No refunds will be issued for partial months or unused time on your subscription.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Wyoming, without regard to its conflicts of law principles.

You agree to submit to the exclusive jurisdiction of courts located in Sheridan County, WY for any dispute arising from or relating to this Agreement.

14. General Provisions

These Terms, the Acceptable Use Policy, and any applicable order or written agreement constitute the entire agreement between you and Mailrun regarding the Service. If an applicable signed agreement or order expressly conflicts with these Terms, the signed agreement or order controls to the extent of that conflict.

If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without Mailrun's prior written consent. Mailrun may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of all or substantially all of its assets.

Mailrun is not responsible for delay or failure caused by events beyond its reasonable control, including internet or provider outages, registrar actions, labor disputes, natural disasters, governmental actions, or failures of third-party infrastructure. Provisions that by their nature should survive termination, including payment obligations, ownership, disclaimers, limitations of liability, indemnification, and governing law, will survive.

15. Changes to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or on the platform. Continued use after changes constitutes acceptance of the revised Terms.
